NOMOS-BANK

On 24 October, 2013 NOMOS-BANK successfully completed a capital increase of RUB 19.08 bn or circa 600m US$ on the Moscow Exchange, representing an increase by 22% of its total pre-money number of voting shares.

The proceeds from the new issue will be directed towards acquisition of a controlling stake in Otkritie Bank and increase of the bank's financial flexibility for organic growth.

The transaction was structured as a Russian open subscription with pre-emptive rights and shares not subscribed by current shareholders were placed via open offering on Moscow Exchange.

The issue was placed in full and attracted strong interest from a number of large long-term investors.

Gazprombank acted as joint bookrunner alongside Otkritie Capital in this transaction, which represents to date the 3rd largest equity offering for a Russian issuer this year.

As a result of this transaction and the earlier issuance of preference shares for Alliance Oil, Gazprombank has significantly strengthened its competitive position in the Russian ECM this year.
